The Ludlow Charter (Philanthropy)

Philanthropy is a name for a disposition and a description of an instrument, and they are not the same thing. The instrument was chartered eleven months before its owner's company burned a tent colony.

🜃

Philanthropy is regularly said to need transforming. The request takes the word for the thing.

Philanthropy means love of humankind. It is a claim about a motive, located in the one who holds. What the word names in law is not a motive. It is a chartered, tax-privileged, perpetual holding of capital that directs the capital it holds. A motive and a holding are different kinds of object, and the word presents the second as evidence of the first.

Everything said against philanthropy inside the word has already conceded the motive. The founding is documented and dated, and it is a founding of the instrument.

THE DATES, IN ORDER

1910. The nascent Rockefeller Foundation applies to the United States Senate for a federal charter. Junior meets Taft privately, through Senator Aldrich, to hammer out concessions. The bill is withdrawn: the antitrust suit against Standard Oil is running, and there is deep suspicion in Congress of undue Rockefeller influence over the spending of the endowment.

14 May 1913. Governor Sulzer approves a New York state charter instead. Junior becomes the first president. A large part of the elder Rockefeller's fortune is thereby insulated from inheritance taxes.

20 April 1914. Colorado National Guardsmen and private guards employed by Colorado Fuel and Iron attack a tent colony of roughly twelve hundred striking miners and their families at Ludlow. About twenty-one people die. Eight are shot. Eleven children and two women die in a pit dug beneath a tent, of asphyxiation, of fire, or of both. John D. Rockefeller Jr. is a part-owner of the company and had recently appeared before a congressional hearing on the strike.

1914. The Foundation's trustees establish a Department of Industrial Relations and invite William Lyon Mackenzie King to head it. King becomes Junior's close adviser in Ludlow's aftermath.

Also 1914. Junior brings in Ivy Lee, who tells him the family is losing public support and sets the remedy: go to Colorado, meet the miners, inspect the houses, attend the socials, listen to the grievances. The advice was novel, it worked, and modern public relations dates from this account.

1915. Frank Walsh, chairing the commission Congress created in 1912 to scrutinize labor law, subpoenas Rockefeller Jr. and questions him publicly about Ludlow for three days.

THE FOUNDATION DID NOT FAIL TO PREVENT LUDLOW

Read the sequence again as an operation rather than as a misfortune. The instrument is chartered. Eleven months later the owner's company kills eleven children. The instrument then creates a research department to study labor relations and puts the owner's own adviser at its head.

The philanthropy did not fail to prevent the massacre. It processed it, and the processing produced a discipline. What was studied was the problem the studying party had made, by a man being paid to advise the party that made it, under the name of research.

The Foundation's later position is the tell. After the criticism that its involvement in industrial relations advanced the family's business interests, it withdrew from that work directly and confined itself to funding responsible organizations in controversial fields, which were beyond its control. The correction was not to stop setting the terms. It was to stop being visible while setting them, which is the same operation with the hand removed.

THE OBJECTION IS NOT HINDSIGHT

The strongest defense of the founding is that nobody could have seen it. The record forecloses that defense twice, and both times in Congress.

In 1910 the Senate would not charter the thing, and the stated ground was undue influence over the spending. The danger was named by the legislature before the endowment existed, and the answer was to go around the legislature to Albany.

In 1915 a federal commission put the owner under oath about the dead. The commission was convened to scrutinize labor law and found itself questioning a foundation president anyway, because the man answering for the tent colony was the same man.

AND HE DID NOT ORDER IT

One defense is left standing after hindsight, and it is the strongest of them because it is true. He was not there. He did not command the militia, did not position the guns, and did not set the canvas alight. Whatever was done at Ludlow, he did not order it.

The defense has an original in literature and the original disposes of it. Goethe's Faust wants Baucis and Philemon off the ground his project requires and does not want them dead. He orders them moved. He offers an exchange. His agents burn the cottage with the old couple inside it, and afterwards he says that he had wanted trade and not robbery. The distinction is true and it is worth nothing, because the project required the ground clear and what the agents did was what clearing it required. An order is not the mechanism. The requirement is, and a requirement does not have to be transmitted to be met.

The two fires also match where it counts. In both, the dead were inside the one thing standing where the work needed nothing to stand. The cottage burned with them in it. Eleven children and two women died in a pit dug beneath a tent, of asphyxiation, of fire, or of both.

Which direction that comparison runs has to be stated, because run the other way it is an insult. The poem does not explain Ludlow and the dead at Ludlow are not an illustration of a poem. They have names, a date and a congressional record. Faust was published in 1832, eighty-two years before the tent colony, and what the record does is establish that the confession in it was accurate.

And what follows each fire is the same. Faust does not stop building. Here the answer to the tent colony was a department, the owner's own adviser at its head, and a discipline for the management of the next one.

THE NAME IS NOT THE THING

Before the second name there was a first one, and the first one was accurate. Robber baron describes a relation: something taken, someone it was taken from, a road it was taken on. Every term in it points at another party.

Philanthropy points at no other party. It describes a feeling and locates it in the one who holds. The word moves the fact from what was done to a hoard to what is felt by the one holding it, and the ledger entry that would have shown the taking is closed by the same act that funds the library.

And the substitution does more than cover. It converts accumulating into evidence of virtue, because the giving is proportional to the hoard and only the largest hoards give at scale. The bigger the taking, the larger the gift, the more visible the goodness. That is not a hypocrisy sitting on top of an economy. It is the economy supplying its own character reference.

THE ADJECTIVE TAKES THE BLAME AND THE NOUN WALKS

The strongest reform argument deserves to be stated at its strongest. It comes from foundations that have decided to dissolve themselves and move their money out on the terms of the people closest to the work. It is sincere, and it goes further than the rest of the conversation it belongs to.

At its strongest it concedes most of the case. The crisis was made. The solutions on offer are shaped by the ideas that produced the problem. Philanthropy is part of the field it claims to stand outside, and the relations it inherits were violently created and then written into law.

Then it places the fault in an adjective. What must go is institutional philanthropy: the endowment held at a distance, the grant cycle, the metric that decides what counts. What replaces it is wealth stewarded by communities through kinship, reciprocity and direct transfer. That is not a reformed philanthropy. It is a different thing, and it leaves carrying the old word's blessing.

When the purpose of such a dissolution is stated as testing and demonstrating that wealth, capital and justice can coexist, the noun survives the dissolution intact. Coexistence is a question with its answer already inside it, and test and demonstrate is the metric returning in the sentence written to dismantle it.

The argument now has a published taxonomy. The Institute for Policy Studies' Gilded Giving 2026 sorts the largest funders into three orientations, accumulation, capitulation and solidarity, and commends the third: donors who give in solidarity with social movements, raise their payout, work towards spending down, and should be applauded. Sorting the holders by disposition keeps the holding out of the sort. One funder hoards, one folds, one gives, and the instrument that lets each of them decide stands under all three.

And the dissolution is the founding run backwards. In 1913 a fortune under a crisis of legitimacy answered it by gathering itself into an instrument. The dissolving foundation answers the present crisis by dispersing the instrument into the field. Gathering and dispersing are opposite motions of one holding, and in both the holder chooses once more, in the same room, and the choosing is described as its opposite: then as generosity, now as surrender.

WHAT TRANSFORMING ASSUMES

To transform an instrument is to keep it and change its use. The word assumes the instrument is neutral and the use went wrong, and the dates say the use is the instrument.

The counterfeit remedy is already in the room: better foundations, participatory grantmaking, trust-based philanthropy, spend-down pledges, communities at the table. Every one of them changes how the hoard is administered and none of them changes whether a hoard administers. The seat is still given. The calendar is still set. The metric still decides what is fundable. The 1914 correction was this correction, and the Foundation adopted it itself: keep the jurisdiction, remove the hand.

The same holds when the vocabulary is story. Convenings now describe their stage as the space between stories, the old one breaking down and the new one not yet here, and sell a place in front of the capital that will fund the new one. Everyone in that room is asked to change except the capital, which is selected, honored and placed as the decider before any story is told. The old story was never growth or extraction; those are what it produces. It was who decides what is real, and funding is that decision. A story that needs financing has a creditor, and the creditor is the old story.

The question is not how to transform philanthropy. Philanthropy is what the transformation already was, performed once, in 1913, on a fortune that had a different name the year before.

RegenerativeLaw is a religion in the direct-encounter Protestant tradition, carrying a documented four-century lineage through Böhme, the Behmenists, the Friends, and Penn, and it diagnoses trespass theology as an establishment of religion. Its exercise consists substantially in refusal: it shelters the conscientious refusal of performed subordination as religious exercise. This entry states sincere religious belief concerning matters of ultimate concern, protected under the First Amendment and, as to federal action, the Religious Freedom Restoration Act, 42 U.S.C. § 2000bb.

The prime question is not what do we do next.

Lobster trap

It is not the wrong question. It is in the wrong sequence, and the sequence is geometry rather than development. There is no level to reach first and nothing to become ready for. The smaller question converts "whether" into doing well what should stop.

The prime question is whether.

Asked of a life, the question is how, then, shall we live.
